These Terms and Conditions govern the use of PrivateUpgrades, the PrivateUpgrades website, the PrivateUpgrades membership, and the PrivateUpgrades hotel booking services. By creating a membership, using the website, searching hotel availability, or making a booking through PrivateUpgrades, you agree to these Terms.

PrivateUpgrades is a hotel booking and luxury travel membership platform. PrivateUpgrades helps members book selected luxury hotels and receive preferred benefits where available. The hotel stay itself is provided by the booked hotel.
PrivateUpgrades acts as an intermediary, booking platform, and travel advisor. The hotel contract is created between the member and the booked hotel, or, where applicable, the hotel supplier involved in the booking. PrivateUpgrades does not operate the hotel and is not responsible for the hotel’s on-property services.
PrivateUpgrades does not charge the member’s credit card for hotel stays. The credit card is charged by the hotel or the responsible hotel supplier according to the booking terms. PrivateUpgrades does not store full credit card details and has no access to full card data.
The free membership includes access to PrivateUpgrades hotel benefits, online hotel booking, and standard service support for the booked hotel stay. Extended travel planning, refund assistance, disputes, or services beyond the hotel stay may be subject to a service fee.
Each booking is subject to the rate, benefits, cancellation policy, payment terms, and hotel conditions displayed during the booking process and confirmed in the booking confirmation.

Membership and bookings are available only to persons who are legally able to enter into binding contracts. Members must be at least 18 years old or the legal age of majority in their country of residence, whichever is higher.
PrivateUpgrades provides access to selected hotel rates, preferred partner benefits, seasonal promotions, and booking support for luxury hotel stays.
PrivateUpgrades acts as an intermediary between the member and the hotel. PrivateUpgrades is not the hotel, does not own or operate the hotel, and does not provide the hotel room, food and beverage services, spa services, transfers, facilities, or other on-property services.
The booked hotel remains responsible for providing the accommodation and the hotel services included in the booking. The member is responsible for complying with the hotel’s policies, house rules, payment terms, cancellation rules, and local requirements.
When a member makes a hotel booking through PrivateUpgrades, the contract for the hotel stay is created between the member and the booked hotel or, where applicable, the hotel supplier involved in the booking.
The booking confirmation sets out the main booking details, including the hotel, dates, room category, rate, taxes and fees, cancellation policy, payment conditions, and included benefits.
Where available, the booking confirmation may include a hotel confirmation number generated by the hotel reservation system, Global Distribution System, hotel supplier, or hotel partner system. This number is not merely an internal PrivateUpgrades reference.
In many cases, guests may be able to view the booking on the hotel website or hotel app using the hotel confirmation number, guest name, or hotel loyalty account, where supported by the hotel or hotel group.
Members must carefully review all booking details before confirming a reservation. By confirming a booking, the member accepts the hotel’s rate conditions, cancellation policy, payment terms, and applicable hotel rules.
If there is a conflict between general website information and the specific booking confirmation, the booking confirmation and the hotel’s confirmed booking conditions apply to the specific stay.
PrivateUpgrades provides hotel booking services. PrivateUpgrades does not sell package travel, flights, insurance, transfers, tours, activities, or other travel arrangements as part of these Terms unless this is expressly stated in writing for a specific booking.
Any additional services arranged directly with a hotel or third party are subject to the terms and conditions of that hotel or third party.
PrivateUpgrades does not charge the member’s credit card for hotel stays. Payments, deposits, guarantees, pre-authorizations, cancellation fees, no-show fees, and local charges are handled by the hotel or the responsible hotel supplier according to the booking terms.
Credit card details are transmitted securely for the purpose of guaranteeing or paying for the hotel booking. PrivateUpgrades does not store full credit card details and has no access to full card data.
The member is responsible for providing valid payment details and ensuring that the hotel can charge or pre-authorize the card where required. If payment details are invalid, expired, declined, or insufficient, the hotel may cancel the booking or apply its cancellation or no-show policy.
PrivateUpgrades membership is currently free of charge. Membership gives access to selected hotel offers, preferred partner benefits, seasonal promotions, online hotel booking, and standard service support related to the booked hotel stay.
PrivateUpgrades may accept, reject, suspend, restrict, or terminate a membership at its discretion, especially where there is misuse, repeated cancellations, fake bookings, no-shows, chargebacks, abusive conduct, fraud, excessive non-booking activity, false information, duplicate accounts, unauthorized resale, or behavior that harms PrivateUpgrades, hotel partners, or other members.
PrivateUpgrades expects members to use the membership actively and responsibly. As a general membership guideline, members are encouraged to make at least two hotel bookings per year. PrivateUpgrades may review inactive memberships but may apply this guideline with reasonable flexibility.
PrivateUpgrades membership is free and provides access to selected booking opportunities and benefits. Membership does not guarantee that every hotel, rate, benefit, promotion, room category, travel date, or service request will be available.
Membership is personal to the registered member and may not be sold, transferred, shared, or assigned to another person without the prior written approval of PrivateUpgrades.
PrivateUpgrades membership is granted for an indefinite period unless it is terminated, suspended, restricted, or closed by the member or by PrivateUpgrades in accordance with these Terms.
Members may request the closure of their membership account at any time by contacting PrivateUpgrades.
PrivateUpgrades may terminate, suspend, restrict, or close a membership where permitted under these Terms, including in cases of misuse, repeated cancellations, excessive non-booking activity, false information, unpaid hotel charges, no-shows, chargebacks, abusive behavior, duplicate accounts, unauthorized resale, fraud, or other conduct that is not aligned with the purpose of the membership.
If a membership is terminated, the member has no automatic right to create a new account, reactivate the previous account, make future bookings, or receive PrivateUpgrades benefits.
Termination or closure of a membership does not affect existing payment obligations, cancellation fees, no-show fees, hotel charges, legal claims, or booking conditions that arose before the account was closed.
PrivateUpgrades membership is currently free of charge. If PrivateUpgrades introduces paid membership options or changes the membership model in the future, members will be informed accordingly. Paid services, if any, will only apply according to the terms communicated at that time.
PrivateUpgrades may request additional information to verify a member, guest, company, booking purpose, payment authorization, or suspected misuse. If the requested information is not provided or appears incorrect, PrivateUpgrades may restrict the account, decline the booking, remove benefits, or cancel the booking according to the applicable cancellation conditions.
Members must provide accurate and complete information when creating an account and when making a booking. This includes the correct name, email address, contact details, guest names, travel dates, number of adults, number of children, children’s ages, room occupancy, and payment information.
If a member provides false, incomplete, misleading, or incorrect information during signup or booking, PrivateUpgrades may restrict, suspend, or close the account, decline future bookings, remove benefits, or cancel bookings according to the applicable cancellation conditions.
Members are responsible for keeping their account login details secure. PrivateUpgrades is not responsible for bookings, changes, cancellations, or activity made through a member’s account unless caused by PrivateUpgrades’ own fault.
Each person may hold only one PrivateUpgrades membership account. Duplicate accounts may be merged, restricted, suspended, or closed.
If a member’s PrivateUpgrades membership has previously been suspended, restricted, or terminated, PrivateUpgrades may decline any future membership application or booking request from that person.
If a previously suspended, restricted, or terminated member creates a new account, uses another account, or attempts to make a booking under a different name or email address, PrivateUpgrades may close the new account, decline the booking, remove PrivateUpgrades benefits, or cancel the booking according to the applicable cancellation conditions.
PrivateUpgrades may also decline bookings where the actual guest, payer, or beneficiary is a person whose membership was previously terminated, suspended, or restricted.
Any hotel charges, cancellation fees, no-show fees, or other costs resulting from such a booking remain the responsibility of the guest according to the hotel’s booking conditions.
PrivateUpgrades membership is intended for members with a genuine interest in booking luxury hotel stays through PrivateUpgrades. Members may browse hotels, compare options, and check availability as part of normal membership use.
If a member account creates an unusually high number of searches, availability checks, offer requests, or booking enquiries without making bookings, PrivateUpgrades may review the account. Where the usage appears excessive, automated, speculative, commercially abusive, or not aligned with the purpose of the membership, PrivateUpgrades may restrict, suspend, or close the account.
PrivateUpgrades may review accounts with repeated overlapping or duplicate bookings for the same or similar travel dates. Where such bookings appear speculative or abusive, PrivateUpgrades may restrict the account, remove benefits, or decline future bookings.
Automated searches, scraping, rate harvesting, content extraction, use of bots, or any technical attempt to copy, monitor, overload, or misuse PrivateUpgrades systems is prohibited.
To protect the quality and value of the free membership, members must keep their cancellation ratio below 50%.
A cancellation is counted when a member makes a confirmed booking and later cancels that booking. Cancellations caused by the hotel are not counted against the member’s cancellation ratio.
PrivateUpgrades may warn, restrict, suspend, or terminate memberships where a member’s cancellation ratio reaches or exceeds 50%, or where booking behavior appears abusive, speculative, automated, fraudulent, or not in line with the purpose of the membership.
The cancellation ratio also protects PrivateUpgrades’ hotel relationships. Each booking may require preparation, hotel communication, benefit handling, and operational follow-up. Frequent cancellations may harm PrivateUpgrades’ relationship with hotel partners and may reduce the willingness of hotels to provide preferred benefits in the future.
Members may make bookings for third parties, including family members, friends, colleagues, clients, or other guests, provided that the member is authorized to make the booking and provides accurate guest information.
The member remains responsible for the accuracy of the booking details, guest names, number of guests, children’s ages, contact details, payment information, special requests, and all communication related to the booking.
PrivateUpgrades may decline or cancel bookings that appear unauthorized, fraudulent, misleading, abusive, or not aligned with the purpose of the membership.
Guest name changes are subject to hotel approval and may not be possible for all bookings. PrivateUpgrades may decline name changes that appear to involve unauthorized resale, misuse, fraud, or circumvention of membership restrictions.
PrivateUpgrades rates, bookings, benefits, promotions, and membership privileges may not be resold, transferred, advertised, auctioned, packaged, or commercially exploited without the prior written approval of PrivateUpgrades.
PrivateUpgrades may approve selected resale, agency, corporate, or third-party booking use on a case-by-case basis. Such approval must be confirmed in writing before the booking is made or offered to another person.
If a booking, rate, promotion, or benefit is used for unauthorized resale or commercial use, PrivateUpgrades may remove benefits, decline future bookings, restrict or close the account, or cancel the booking according to the applicable cancellation conditions.
PrivateUpgrades members may receive preferred benefits at participating hotels. Typical benefits may include a room upgrade, daily breakfast, a benefit worth 100 USD or more, early check-in, late check-out, VIP recognition, welcome amenities, or seasonal promotions.
The exact benefits vary by hotel, rate, room category, travel dates, promotion, and availability. The benefits applicable to a booking are displayed on the hotel page, during the booking process, or in the booking confirmation.
Some benefits may be guaranteed when they are included in the booked rate or confirmed promotion. This may include breakfast, a benefit worth 100 USD or more, free-night promotions, or other clearly confirmed benefits.
Other benefits are subject to availability and hotel confirmation. This commonly includes room upgrades, early check-in, and late check-out. These benefits cannot be guaranteed unless expressly confirmed in writing by the hotel.
Welcome amenities, VIP recognition, and similar courtesies are hotel-dependent and may vary by hotel, stay length, room category, rate, and operational circumstances.
Seasonal promotions are subject to availability, travel dates, booking windows, hotel rules, and promotion-specific conditions. Promotions may require minimum stays, specific room categories, booking windows, travel windows, or other conditions. Promotions may change or end without notice before a booking is confirmed.
If a hotel leaves the PrivateUpgrades program after a booking is confirmed, PrivateUpgrades will make reasonable efforts to preserve confirmed benefits, but some benefits may depend on the hotel’s continued participation.
Where a room upgrade is available, it is normally an upgrade by one room category. The hotel determines the available upgrade category at its discretion.
An upgrade does not guarantee a suite, special view, balcony, club access, connecting room, specific floor, or specific room feature unless expressly confirmed in writing by the hotel.
Early check-in and late check-out are subject to availability and may not be confirmed until arrival or departure day. Additional charges may apply if the hotel confirms guaranteed early arrival or late departure.
Where a benefit worth 100 USD or more is included as a PrivateUpgrades benefit, the benefit may be provided as a hotel credit, resort credit, spa credit, dining credit, lunch, dinner, massage, airport transfer, activity, experience, or another hotel-defined benefit.
This benefit is not an additional benefit on top of a credit, dinner, massage, transfer, or experience. The form and use of the benefit are defined by the hotel and confirmed for the specific booking.
If the hotel operates in another currency, the hotel may convert the 100 USD benefit into the local currency using its own exchange rate or internal conversion policy. PrivateUpgrades does not control the hotel’s currency conversion, exchange rate, outlet rules, eligible charges, or how the hotel applies the benefit to the final invoice.
The benefit is subject to the hotel’s own rules and may be limited to selected outlets, such as food and beverage, spa, hotel-operated transfers, activities, experiences, or other hotel-operated services.
The 100 USD benefit must be used during the original hotel stay. It is not cash, cannot be refunded, cannot be transferred, and unused balances cannot be paid out or carried over to a later stay.
The benefit may not apply to the room rate, taxes, city taxes, resort fees, gratuities, third-party services, retail products, minibar charges, external restaurants, or other charges excluded by the hotel, unless the hotel confirms otherwise.
For consecutive or back-to-back stays at the same hotel, the 100 USD benefit or hotel credit is generally granted only once. There must be at least 24 hours between stays at the same hotel for a new stay to qualify again. For consecutive stays at different hotels, the benefit applies according to each hotel’s booking conditions.
Breakfast benefits usually apply for two guests per bedroom when breakfast is listed as a confirmed benefit. For example, a two-bedroom suite may include breakfast for up to four guests staying in the suite, depending on the hotel and booking conditions.
Breakfast benefits are subject to hotel rules. Room service, brunch, alcoholic beverages, supplements, children’s meals, special menu items, or additional guests may not be included unless confirmed by the hotel.
Hotel loyalty points, elite nights, status recognition, and hotel brand benefits are subject to the rules of the relevant hotel or hotel group. PrivateUpgrades cannot guarantee that a hotel loyalty program will award points, nights, status benefits, or program credits for a specific booking.
In many cases, members may receive hotel brand loyalty points and hotel brand status benefits when booking through PrivateUpgrades, where the hotel or hotel group allows this. Some hotel programs, hotel groups, rates, or promotions may exclude loyalty points, elite nights, or certain program benefits.
If a member adds a hotel loyalty number and the hotel brand supports it, the booking may appear in the hotel loyalty account or hotel app. This depends on the hotel program, booking system, and hotel confirmation process.
Only the rates, benefits, and promotions displayed on the PrivateUpgrades website or confirmed by PrivateUpgrades apply to a booking. PrivateUpgrades benefits cannot be combined with additional third-party benefits, external programs, vouchers, corporate benefits, promotional codes, or other offers unless expressly confirmed by the hotel or PrivateUpgrades in writing.
Hotel brand status benefits may be honored by the hotel according to the hotel brand’s own loyalty program rules. Such status benefits are separate from PrivateUpgrades benefits and remain subject to hotel approval.
PrivateUpgrades aims to display hotel rates clearly and transparently. Unless stated otherwise, rates displayed and confirmed through PrivateUpgrades include applicable taxes and mandatory hotel charges known at the time of booking.
In some destinations, city taxes, tourism taxes, local government fees, resort fees, or similar local charges may be payable directly at the hotel. Where known, such charges are displayed during the booking process or included in the booking conditions.
Taxes, city taxes, tourism fees, resort fees, and government charges may change due to local law or government decision. Such changes are outside PrivateUpgrades’ control and may be payable directly at the hotel.
The member pays in the currency of the hotel or in the currency displayed and confirmed during the booking process. The amount confirmed during booking is the booking amount, subject to any local charges expressly stated as payable at the hotel.
PrivateUpgrades does not control exchange rates, foreign transaction fees, card issuer fees, bank charges, or hotel conversion rates. Such charges are the responsibility of the member.
Once a booking is confirmed, the hotel rate does not change, except where a rate error, technical error, tax change, government fee, or correction applies under these Terms or the hotel’s booking conditions.
Members may contact PrivateUpgrades before booking if they find a lower rate for the same hotel, dates, room category, occupancy, cancellation policy, taxes, fees, and booking conditions.
Any price review or price match request is discretionary and subject to verification by PrivateUpgrades. Price matching may not be available for flash sales, closed member rates, app-only rates, loyalty-only rates, opaque rates, package rates, promotional codes, or other restricted offers.
Hotel prices may change after a booking is confirmed. Members should not repeatedly cancel and rebook confirmed stays for minor price changes, small rate differences, or speculative price monitoring.
PrivateUpgrades prepares each booking with care, including benefit communication, upgrade handling, stay preparation, and promotion confirmation where applicable. For this reason, repeated cancellation and rebooking behavior for minor rate differences may count toward the cancellation ratio and may be considered non-responsible membership use.
Repeated cancellations and rebookings for minor price changes may result in account review, restriction, suspension, closure, removal of benefits, or refusal of future bookings.
Where a member finds a materially lower rate for the same hotel, dates, room category, occupancy, cancellation policy, taxes, fees, and booking conditions, PrivateUpgrades may review the case at its discretion.
PrivateUpgrades may decide not to count the cancellation against the cancellation ratio where the price difference is significant, the rate conditions are comparable, and the cancellation and new booking are handled through PrivateUpgrades.
Hotels, suppliers, or booking systems may occasionally display an incorrect rate, availability, tax, fee, benefit, room category, or promotion due to a technical, loading, mapping, currency, or human error.
If a clear rate error or technical error is identified, PrivateUpgrades may recall the booking within 72 hours after confirmation. In such cases, the booking may be corrected, replaced with an alternative offer, or cancelled free of charge.
PrivateUpgrades will make reasonable efforts to inform the member as soon as possible and, where available, offer a corrected rate or alternative booking option. The member is not required to accept a corrected offer.
Each booking is subject to the cancellation and amendment policy shown during the booking process and confirmed in the booking confirmation.
Cancellations, amendments, and related booking requests for reservations made through PrivateUpgrades must be submitted through the PrivateUpgrades website, member account, or by contacting PrivateUpgrades by email or phone. Members should not cancel or amend a PrivateUpgrades booking directly with the hotel, through the hotel website, hotel app, hotel loyalty account, or another channel unless PrivateUpgrades expressly instructs them to do so.
Direct cancellation or amendment outside PrivateUpgrades may not be correctly reflected in the PrivateUpgrades booking record, may affect benefits and service support, and does not override the hotel cancellation policy, fees, no-show rules, or other booking conditions.
Cancellation deadlines are based on the local time of the booked hotel, unless the booking confirmation states otherwise.
If a member cancels after the free cancellation deadline, books a non-refundable rate, or fails to comply with the hotel’s cancellation policy, the hotel may charge cancellation fees according to the booking conditions.
Amendments are subject to availability, hotel approval, rate conditions, and any price difference or fee applicable at the time of the amendment. Non-refundable and restricted bookings may not be changeable.
A no-show occurs when a member does not arrive for a confirmed booking and does not cancel according to the hotel’s cancellation policy.
No-show fees are owed to the hotel according to the booking conditions. A confirmed hotel booking is a legally binding reservation between the member and the hotel or responsible hotel supplier.
No-show fees, cancellation fees, deposits, local hotel charges, and other valid hotel charges are owed to the hotel or responsible hotel supplier according to the booking conditions.
If valid hotel charges remain unpaid, the hotel may take further action against the guest to recover the amount. PrivateUpgrades may restrict, suspend, or close the membership and may decline future bookings.
Where necessary and legally permitted, PrivateUpgrades may assist the hotel, hotel supplier, or other responsible party in connection with unpaid charges, no-shows, misuse, fraud, legal claims, or enforcement of booking conditions. This may include disclosing relevant booking, guest, contact, stay, account, or communication information in accordance with the Privacy Policy and applicable law.
Unjustified chargebacks may result in membership termination and refusal of future bookings.
Refunds, deposits, cancellation fees, no-show fees, pre-authorizations, hotel invoices, local charges, and payment disputes are handled by the hotel or the responsible hotel supplier according to the booking conditions.
Members must contact the hotel directly for refund requests, invoice corrections, deposit releases, duplicate charges, cancellation fee disputes, no-show fee disputes, or other hotel payment matters.
PrivateUpgrades may assist members with such matters upon request. If the assistance goes beyond standard booking support, PrivateUpgrades may charge a service fee based on the time required, the complexity of the matter, and the work involved.
PrivateUpgrades will inform the member where a service fee may apply before carrying out chargeable assistance.
Members must inform PrivateUpgrades during the hotel stay if a confirmed benefit is not recognized, a benefit worth 100 USD or more is missing, breakfast is not correctly applied, a VIP benefit is unclear, or another booking-related issue arises.
PrivateUpgrades can only assist effectively if it is informed while the member is still at the hotel and the hotel has a reasonable opportunity to review and resolve the matter.
Claims or compensation requests made only after check-out may be limited or declined where PrivateUpgrades and the hotel were not given a reasonable opportunity to resolve the issue during the stay.
Members should contact PrivateUpgrades for issues related to membership benefits, VIP recognition, booking confirmations, special requests, cancellation support, or booking communication.
Members should contact the hotel directly for on-property matters such as check-in, housekeeping, room maintenance, restaurant or spa bills, local hotel charges, damages, safety concerns, medical emergencies, or other operational hotel services.
Members are responsible for reviewing the hotel invoice before check-out. Any questions about hotel charges, credits, taxes, fees, restaurant bills, spa bills, minibar charges, or local payments should be raised with the hotel before departure. PrivateUpgrades may assist after check-out, but corrections are easier while the member is still at the hotel.
PrivateUpgrades membership is free and provides access to selected hotel rates, PrivateUpgrades benefits, online hotel booking, and standard service support related to the booked hotel stay.
Standard service support may include assistance with booking questions, hotel benefit communication, special requests, arrival information, VIP recognition, and support during the booked hotel stay.
Requests that go beyond the booked hotel stay may be handled at the discretion of PrivateUpgrades and may be subject to a service fee. This may include extended travel planning, complex itinerary work, refund follow-up, dispute handling, supplier communication, special research, concierge-style tasks, or other services outside standard hotel booking support.
PrivateUpgrades may decline requests that go beyond the purpose of the free membership or may offer to handle such requests for a service fee based on the time and work required.
PrivateUpgrades aims to support members in a timely and professional manner. However, response times may vary depending on time zone, hotel response times, business hours, complexity, and operational availability.
PrivateUpgrades may forward special requests to the hotel, including requests for bedding, room location, connecting rooms, early arrival, late departure, celebrations, dietary preferences, or other guest preferences.
Special requests are not guaranteed unless expressly confirmed in writing by the hotel. Fulfilment depends on availability, hotel policy, room category, operational conditions, and local regulations.
PrivateUpgrades may communicate with the hotel before arrival to support VIP recognition, benefits, and special requests. Members should not make separate arrangements with the hotel that conflict with the PrivateUpgrades booking conditions or confirmed benefits.
Members are responsible for selecting the correct number of adults, children, and rooms during the booking process. Children’s ages must be entered correctly where requested.
If the member does not provide the correct number of guests or children at the time of booking, PrivateUpgrades is not responsible for check-in problems, additional hotel charges, room capacity issues, benefit limitations, refused check-in, or the need to book an additional room.
Additional guests, children, extra beds, baby cots, connecting rooms, and larger room categories are subject to hotel approval, room capacity, local laws, safety rules, and additional charges.
The hotel may refuse check-in if the guest does not meet the hotel’s requirements, including valid identification, valid payment method, minimum age, correct guest details, occupancy rules, security requirements, or local legal requirements. PrivateUpgrades is not responsible for refusal of check-in caused by the guest’s failure to meet such requirements.
Operational decisions at the hotel, including room assignment, upgrade availability, check-in timing, late check-out, benefit application, invoice correction, and local service matters, remain at the hotel’s discretion.
Members are responsible for passports, visas, entry rules, vaccinations, travel insurance, and legal travel requirements. Failure to travel for these reasons does not automatically waive hotel cancellation fees.
PrivateUpgrades recommends travel insurance. PrivateUpgrades does not provide insurance unless expressly stated in writing.
Members must use PrivateUpgrades and hotel partner services respectfully, honestly, and lawfully.
Members must not create fake bookings, make speculative bookings, misuse benefits, manipulate booking systems, provide false information, use stolen or unauthorized payment details, abuse hotel staff or PrivateUpgrades staff, or engage in fraudulent or unlawful conduct.
PrivateUpgrades may terminate membership for abusive, threatening, discriminatory, harassing, or disrespectful communication with PrivateUpgrades staff, hotel staff, or partners.
PrivateUpgrades may suspend or terminate membership immediately in cases of serious misconduct, fraud, abusive behavior, non-payment, no-show abuse, chargebacks, or misuse of the membership.
Members may choose to publish reviews, ratings, testimonials, photos, tags, or comments about PrivateUpgrades on public platforms such as Google, Trustpilot, social media, or similar public websites.
If a member publishes content publicly about PrivateUpgrades, PrivateUpgrades may refer to, quote, repost, or share that publicly available content for marketing, communication, or reputation purposes, unless the member asks PrivateUpgrades not to do so.
PrivateUpgrades will not present private communications as public testimonials without permission.
By creating a PrivateUpgrades membership, the member agrees to receive PrivateUpgrades newsletters, hotel offers, travel inspiration, service updates, and booking-related communications as part of the membership signup.
Members may unsubscribe from marketing newsletters at any time by using the unsubscribe link in the email or by contacting PrivateUpgrades.
Unsubscribing from marketing communications does not affect necessary service communications related to bookings, membership administration, cancellations, account status, legal notices, security, or important service updates.
PrivateUpgrades may send booking confirmations, service messages, membership notices, cancellation warnings, legal notices, and account updates by email. Members are responsible for keeping their email address current and checking relevant communications.
PrivateUpgrades processes personal data in accordance with its Privacy Policy.
To arrange and support hotel bookings, PrivateUpgrades may share necessary booking and guest information with hotels, hotel groups, suppliers, technology providers, payment providers, email service providers, and service partners involved in the booking process.
This may include guest names, stay dates, contact details, membership details, special requests, loyalty information, arrival information, preferences relevant to the stay, and information needed to support benefits or booking-related communication.
Where necessary and legally permitted, PrivateUpgrades may share relevant booking, guest, contact, stay, account, or communication information in connection with unpaid hotel charges, no-shows, misuse, fraud, legal claims, enforcement of booking conditions, security, or protection of PrivateUpgrades, hotels, suppliers, members, or guests.
Credit card details are not stored by PrivateUpgrades and are not accessible to PrivateUpgrades as full card data.

Members and visitors may use the PrivateUpgrades website only for lawful personal or business travel purposes.
Users must not copy, scrape, reverse engineer, overload, disrupt, manipulate, or misuse the website, booking engine, rates, availability, hotel content, images, technology, or member systems.
PrivateUpgrades may restrict access to the website, booking engine, or membership account where misuse, security risk, automated access, suspicious activity, or breach of these Terms is suspected.
Hotel descriptions, images, facilities, room details, benefits, and other hotel information are provided for general guidance and may be based on information from hotels, hotel groups, suppliers, or publicly available sources.
Hotels may change facilities, services, restaurants, spas, room categories, opening hours, benefits, renovation schedules, policies, or amenities without prior notice.
PrivateUpgrades aims to keep hotel information accurate but cannot guarantee that every detail is complete, current, or error-free at all times.
Hotel availability, rates, room categories, and promotions are subject to change until a booking is confirmed.
A room, rate, promotion, or benefit shown on the website does not guarantee availability until the booking has been completed and confirmed.
Hotel closures, overbookings, renovations, facility closures, or operational changes are the responsibility of the hotel. PrivateUpgrades may assist with communication but cannot guarantee compensation or alternative arrangements.
PrivateUpgrades and its hotel partners may decline, cancel, restrict, or refuse a booking where required by law, sanctions regulations, embargo rules, security requirements, payment restrictions, or other legal obligations.
PrivateUpgrades is responsible for operating the PrivateUpgrades platform, supporting the booking process, and communicating booking-related information to hotels and members.
The booked hotel remains responsible for providing the accommodation, facilities, on-property services, food and beverage services, spa services, local billing, safety, operations, and guest experience at the hotel.
PrivateUpgrades is not responsible for hotel service failures, hotel closures, construction, maintenance issues, staff behavior, operational decisions, force majeure events, local taxes, local fees, weather, strikes, travel disruption, government action, or other matters outside PrivateUpgrades’ reasonable control.
Nothing in these Terms excludes liability where such exclusion is not permitted by mandatory law.
PrivateUpgrades is not responsible for failure or delay caused by events outside its reasonable control. This may include natural disasters, extreme weather, pandemics, epidemics, war, terrorism, civil unrest, strikes, government restrictions, border closures, transport disruption, technology failures, supplier failures, power outages, or other extraordinary events.
In such situations, the hotel’s cancellation, amendment, refund, and force majeure policies may apply.
PrivateUpgrades may update these Terms from time to time. The updated version will be published on the PrivateUpgrades website with a revised update date.
The Terms in force at the time of booking apply to that booking, unless a change is required by law or relates to ongoing membership, website use, security, or service administration.
If these Terms are translated into another language, the English version shall prevail in case of conflict, unless mandatory law requires otherwise.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain valid and enforceable to the fullest extent permitted by law.
If PrivateUpgrades does not enforce a right under these Terms in a specific case, this does not mean that PrivateUpgrades waives that right for the future.
These Terms are governed by Swiss law.
Unless mandatory consumer protection laws provide otherwise, the courts of Appenzell Ausserrhoden, Switzerland, shall have jurisdiction.
